End User Agreement

Acceptance of terms

This End User Agreement (“Agreement”) is between you and BizDev Exchange, Inc. (“BizDevEx,” “we,” “us,” or “our”) and governs your access to and use of bizdevexchange.com and related services (the “Service”). By creating an account or otherwise using the Service, you agree to this Agreement. If you don't agree, don't use the Service.

Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. Accounts are created by signing in with LinkedIn, and the information on your profile should be accurate and kept up to date. You're responsible for all activity that happens under your account.

The Service

BizDevEx is a marketplace that lets members request, offer, and exchange business introductions and meetings with each other. BizDevEx is not a party to any meeting or introduction arranged through the Service, does not vet members or their connections beyond what's stated in this Agreement, and does not guarantee that any exchange, meeting, or business outcome will occur or succeed. You're solely responsible for your interactions with other members.

Plans & billing

BizDevEx offers a Free plan and a paid Pro plan (Enterprise is not yet available). Pro is billed monthly through our payment processor, Stripe, at the price shown on the Plans page at the time you subscribe, and renews automatically each month until you cancel. You can cancel anytime; your Pro access continues through the end of the billing period you've already paid for, and no partial refunds are issued for unused time. We may change plan pricing or features going forward, and we'll make reasonable efforts to notify active subscribers of material price changes before they take effect.

Acceptable use

When using the Service, you agree not to:

impersonate any person or misrepresent your affiliation with a company; scrape, harvest, or use automated tools to collect data from the Service; harass, threaten, or abuse other members; use the Service to spam or solicit members for unrelated products or services; attempt to bypass plan limits or access controls; or use the Service for any unlawful purpose.

We may investigate and take appropriate action against anyone who violates this section, including suspending or terminating their account.

Private Connect & Partner Connect

Private Connect lets you list a personal contact of yours to facilitate an introduction through them. By adding a Private Connect contact, you represent that you have a genuine relationship with that person and a good-faith basis to believe they'd be willing to take a meeting facilitated through you. BizDevEx doesn't independently verify these relationships. Partner Connect works similarly for account-level access granted to a trusted partner. You're responsible for only listing contacts and accounts you're authorized to represent, and for promptly removing a contact if that relationship or authorization ends.

Feedback & conduct

After an exchange, both participants can leave a short comment and rating about the other. Feedback should be honest and given in good faith — don't post feedback that's false, defamatory, or left in bad faith to manipulate another member's score. We may remove feedback that violates this Agreement.

User content

You retain ownership of the profile information, messages, Private Connect entries, and feedback you submit (“User Content”). By submitting User Content, you grant BizDevEx a non-exclusive, worldwide license to host, display, and use it solely to operate and provide the Service — for example, showing your profile to other members in Search. You're responsible for making sure you have the right to submit any User Content you provide, including information about third parties like a Private Connect contact.

Intellectual property

The Service, including its design, features, and the BizDevEx name and logo, is owned by BizDevEx and protected by intellectual property laws. Other than the limited license to use the Service as intended, this Agreement doesn't grant you any rights to our trademarks, branding, or underlying technology.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that any exchange, meeting, or introduction arranged through it will lead to any particular business result.

Limitation of liability

To the fullest extent permitted by law, BizDevEx and its officers, employees, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service won't exceed the greater of $100 or the amount you paid us in the twelve months before the claim arose.

Indemnification

You agree to indemnify and hold BizDevEx harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of this Agreement.

Termination

You may delete your account at any time from the Profile page. We may suspend or terminate your access to the Service if you violate this Agreement or if we reasonably believe doing so is necessary to protect the Service or other members. Sections of this Agreement that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.

Governing law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Changes to these terms

We may update this Agreement from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify you by email. Continuing to use the Service after a change takes effect means you accept the updated Agreement.
